Welcome to Pizzaiolo. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Pizzaiolo ("we," "our," or "us") governing your access to and use of the Pizzaiolo website, mobile application, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to our website and will apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

We encourage you to check this page periodically for any changes. The date at the top of this page indicates when these Terms were last updated.

3. Accessing the Services

3.1 Eligibility

You must be at least 13 years old to access or use our Services. By accessing or using our Services, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into a binding agreement.

5. Ordering and Payment

5.1 Ordering

When placing an order through our Services, you agree to provide accurate and complete information about yourself and your order. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud.

5.2 Pricing and Availability

All prices listed on our Services are in Canadian dollars and are subject to change without notice. We strive to provide accurate product and pricing information, but errors may occur. If we discover an error in the price of items you have ordered, we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or canceling it.

Product availability and menu items may vary by location and are subject to change without notice.

5.3 Payment

You agree to pay all charges at the prices then in effect for your purchases and any applicable delivery fees, taxes, and other charges. We accept various payment methods as indicated on our Services. By providing a payment method, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for all orders placed.

6. Delivery and Pickup

Delivery times are estimates and may vary based on factors such as distance, weather conditions, and order volume. We are not responsible for delays in delivery that are beyond our reasonable control.

Delivery is available only in designated areas. Minimum order requirements and delivery fees may apply and vary by location.

For pickup orders, you are responsible for collecting your order at the designated time and location. Uncollected orders may be discarded after a reasonable waiting period, and no refund will be provided.

7. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Pizzaiolo, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your Web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution

You must not:

  • Modify copies of any materials from the Services
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms, your right to use the Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Pizzaiolo, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising from or relating to these Terms or your use of the Services exceed the amount paid by you to Pizzaiolo (if any) during the six (6) months immediately preceding the event giving rise to such liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Pizzaiolo, its affiliates, and their respective officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be instituted exclusively in the courts of the Province of Ontario, and you irrevocably submit to the jurisdiction of such courts in any such action or proceeding.

11. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Waiver

No waiver by Pizzaiolo of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pizzaiolo to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13. Entire Agreement

These Terms, our Privacy Policy, and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and Pizzaiolo regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
